1. Custom Software Development: End-to-end design, architecture, engineering, and deployment of web platforms, mobile apps, and administrative workflows tailored for Indian enterprises and MSMEs.
2. Software Upgrade, Modernization & Cloud Migration: Refactoring legacy systems, database schema migrations, feature expansion, and zero-downtime cloud infrastructure deployment.
3. Proprietary SaaS Solutions: Ready-to-deploy vertical software platforms, including SchoolSaaS (educational institute ERP) and Bihari Khata Book (retail billing and credit ledger).

2. Intellectual Property & 100% Client Ownership#

We operate with strict engineering integrity and believe in Zero Vendor Lock-In:

• Custom Software Engagements: For custom applications built on a client's behalf, upon complete settlement of agreed milestone invoices, 100% of the custom source code, application architecture, database schemas, and associated intellectual property rights are unconditionally assigned and handed over to the client.
• Unilyx Background IP & Core Frameworks: Generic internal starter kits, reusable utility libraries, and proprietary SaaS products (SchoolSaaS, Bihari Khata Book) remain the intellectual property of Unilyx Technologies. Clients utilizing our SaaS products receive a non-exclusive, non-transferable subscription license.

3. Commercial Proposals, Milestones & Payment Terms#

• Written Scope of Work (SOW): All custom engineering projects proceed based on a mutually approved written Statement of Work defining milestones, deliverables, timelines, and fixed quotations.
• Transparent Pricing: We commit to zero hidden charges or surprise invoices. Any out-of-scope feature requests are evaluated under written Change Request (CR) documentation.
• Milestone Payments: Invoices are linked to verifiable milestone demonstrations. Payment must be cleared according to the agreed payment schedule (typically within 7 to 14 business days of milestone completion).

4. User Obligations & Acceptable Use#

When utilizing our website or communicating with our team, you agree that you will not:

• Transmit false, misleading, defamatory, or fraudulent information.
• Probe, scan, or test the vulnerability of our website, infrastructure, or APIs without express written authorization.
• Deploy automated scrapers, crawlers, or denial-of-service attack vectors against our infrastructure.

Neither party shall disclose confidential information to any third party without prior written consent, surviving for a period of three (3) years post-termination.

6. Warranties & Bug-Fix Period#

• Engineering Standards: We build software following modern industry standards, clean code principles, and rigorous automated and manual QA testing.
• Post-Launch Warranty: Every custom software project includes a dedicated warranty support window (typically 30 to 90 days from deployment, as defined in the SOW) during which verified functional bugs within original scope are resolved at zero additional charge.
• Disclaimer: Except as expressly set forth in a written contract, our website and materials are provided on an "as-is" and "as-available" basis without warranties of merchantability or fitness for an unspecified purpose.

7. Limitation of Liability#

To the maximum extent permitted by applicable Indian law:

• Unilyx Technologies shall not be liable for any indirect, incidental, punitive, or consequential damages, loss of profits, loss of data, or business interruption arising from the use of our website or software.
• Our aggregate cumulative liability arising from any contract or claim shall not exceed the total fees actually paid by the client to Unilyx under the relevant Statement of Work in the three (3) months preceding the incident.

8. Governing Law & Dispute Resolution#

• Jurisdiction: These Terms and any dispute arising out of or related to our services shall be governed exclusively by the laws of India.
• Court Jurisdiction: The courts located in Patna, Bihar, India shall have exclusive territorial jurisdiction over any legal proceedings.
• Amicable Arbitration: In the event of any dispute, the parties shall first attempt to resolve the matter amicably within thirty (30) days. Failing amicable resolution, the dispute shall be referred to arbitration in Patna, Bihar, under the Arbitration and Conciliation Act, 1996, before a mutually agreed sole arbitrator.
